This website www.levelup.ind.in under the name and style “Level Up” (the “Platform”) is owned, operated and made available by Level Up Classical Pilates Private Limited, with its office at#35, Raja Sabha, Kasturba Cross Road, Off Lavelle Road, Bangalore-560001, India (hereinafter, referred to as “Level Up”, “we”, “us” and/or “our”, each of which term shall include our assignees and/or successors-in-interest as determined by us at our sole discretion).

This is a legal agreement between you (the person using, accessing, or subscribing to the Services (as defined in the Terms) and hereinafter, referred to as “you”, or “User” as per the context) and us. 

Please read these Subscription Terms (“Subscription Terms”) carefully before subscribing or availing any of our Services through the Platform. These Subscription Terms set forth the legally binding terms and conditions for your use and subscription to the Services through the Platform.

The Subscription Terms contain Level Up’s policies and procedures in relation to subscription and use of the Services and acceptance of fees and payments towards the Services offered through the Platform. Users are required to peruse and understand the terms of these Subscription Terms. If you do not agree to the Subscription Terms, you are advised not to accept the Terms and these Subscription Terms and may forthwith leave and stop using the Platform. The Subscription Terms shall be accepted without modification and also, by using, browsing, accessing, or availing the Services from the Platform, you agree to be bound by the terms contained herein. 

1. APPLICABILITY AND AMENDMENT

   
   

   1. These Subscription Terms are applicable to the Subscription (defined below) and availing of the Services offered on the Platform. We request you to carefully go through these Subscription Terms before you decide to subscribe and avail the Services. 

   2. We reserve the right to modify or terminate any portion of the Platform or the Services offered on the Platform or amend the Subscription Terms for any reason, without notice and without liability to you or any third party. To make sure you are aware of any changes, please review these Subscription Terms periodically. Level Up may require you to provide your consent to the updated Subscription Terms in a specified manner before any further use of the Platform and the Services. If no such separate consent is sought, your continued use of the Platform will constitute your acceptance of such changes.

   3. All capitalized terms used in the Subscription Terms and not specifically defined herein shall have the meaning ascribed to such term in the terms of use available at [https://www.levelup.ind.in/login] (“Terms”).

   4. It is further stated that the Subscription Terms are supplementary in nature and shall be considered as an integral part of the Terms. Therefore, it is agreed that the Subscription Terms will be read in conjunction with the Terms, and in case of any inconsistencies or conflicts between the terms of the Subscription Terms and the Terms with respect to the Subscription and use of the Services, the provisions of the Subscription Terms shall prevail, unless expressly consented to by Level Up in writing.

   5. Nothing in the Subscription Terms should be construed to confer any rights to third party beneficiaries.

2. SUBSCRIPTION 

1. Certain Services on the Platform are paid services and require you to purchase subscriptions to avail them (“Subscriptions”). Your use of the Subscription shall be subject to the payment of fees in a mode and manner prescribed by us from time to time (“Fees”). You are required to abide by our instructions with respect to the payment of Fees.

2. Upon our successful receipt of the Fees, your Subscription will commence and will be valid from the date of payment of Fees and until the expiry of the term of the specific Subscription availed by you. (“Subscription Period”). 

3. Details of Subscription:

1. Live Classes (as defined in the Terms): At Level Up, we offer live classes with two primary categories - (i) Live classes which involve multiple individuals participating in a group (“Group Classes”); and (ii) Live classes which involve personalized instruction catering to both individuals or paired participants (“Private and Duet Lessons”). 

• Our Private Lessons and Duet Lessons are structured on a per-class basis and the Fees will also be payable on a per-class basis. 

• Our monthly Subscription options allow you to choose between 1 (one) or 2 (Two) classes per week, providing a total of 4 (Four) to 8 (Eight) classes on a monthly basis. We also ensure adherence to a maximum enrollment cap of 20 (Twenty) participants in our Group Classes. 

2. Video and Information Repository ("Repository"): Our Subscription model for the Repository provides you with flexible options, allowing you to choose the duration that suits your needs. Our subscription plans for the Repository include 1 (One) month subscription, 3 (Three) months subscription, 6 (Six) months subscription, and 1 (One) year subscription options.

3. Access to Experts: Level Up offers a panel of licensed nutritionists, psychologists and therapists (referred to as “Experts”) to you. The Experts will guide you and provide advice on health, nutrition, physical and mental wellbeing. Such Experts may be registered medical practitioners, nutritionists, dieticians, physical trainers, physiotherapists, psychologists, counsellors or other registered healthcare providers. All details, information, notifications, and correspondence related to Experts will be communicated through the email address provided to us by you. It is your responsibility to regularly check your email for updates and important communications from Level Up. It is your responsibility to provide a valid email address or designated contact in accordance with the Terms for receiving email communications from Experts. We will not be held liable for any consequences arising from a failure to check or receive email communications.

4. Level Up reserves the right to terminate your Subscription immediately without prior notice and without any obligation to refund or return any portion of the Fees, if the Services or Subscription are being used in contravention of the Terms including the Subscription Terms.

5. We maintain the right, at our sole discretion and without prior notification, to cancel any purchased Subscription at any point of time, without any reason whatsoever. In such an event, we, at our sole option, may refund the payment for the remaining unused portion of your purchased Subscription, on a pro-rated basis in accordance with these Subscription Terms. 

6. Subject to Clause 2.5, you agree and acknowledge that all purchases on the Platform (including purchase of Subscriptions) by you are non-refundable. You further agree and acknowledge that no refund requests shall be entertained or accepted, and you hereby waive any right to initiate such requests under these Subscription Terms.

7. Subscriptions to certain Services may have additional terms and conditions which will be communicated to you from time to time in a mode and manner prescribed by us.

8. We reserve the right to refuse access to the Platform, refuse Services, or Subscription, terminate Accounts (as defined in the Terms), edit or remove any content on the Platform, at our sole discretion.

9. The Subscription and Services are non-transferable i.e., only the person on whose name the Subscription is purchased will be eligible to avail the Services (as per the terms of the Subscription) through the Platform.

10. We will try to make the Platform error-free. Your access to the Platform may be occasionally suspended or restricted to allow for repairs, maintenance, or for introduction of new facilities or services (as part of the Services). In this regard, Level Up disclaims all liabilities in respect of any device or internet related issues at your end.

3. PAYMENTS 

1. The Fees for the Subscription and any additional services or features will be clearly stated during the Subscription process or via email, as communicated to you from time to time. 

2. It is clarified that prior to availing our Services and/or the Subscription, you will be required to make the payment of Fees basis your Subscription. It is stated that failure to complete the payment of Fees for the applicable Subscription will result in the inability to access or avail the Services under the applicable Subscription. Level Up shall not be responsible for any loss, damage, costs, expenses, or other claims resulting from the unavailability of the Services due to non-payment of Fees. 

3. Taxes: The Fee is exclusive of taxes payable under applicable law. You shall be responsible for paying all applicable taxes (including goods and services tax, per applicable law) associated with the Services and/or Subscriptions availed by you. 

4. You explicitly authorize the Platform to collect, process, facilitate and remit the Fees electronically. When making payments for Subscriptions, you acknowledge and agree that all payment methods available on our Platform are integrated and designed to facilitate secure and convenient transactions. These integrated payment methods may include credit/debit cards, electronic funds transfers, mobile wallets, or any other methods as may be supported by our Platform from time to time, at our sole discretion. It is your responsibility to select a valid and accepted payment method when completing transactions on our Platform. You understand that we reserve the right to update or modify the available payment methods without any prior notice to you.  

5. Invoices will be issued as per the billing cycle which shall commence at the start of the Subscription Period and will continue for the duration of the Subscription Period. Any changes to the billing cycle or Fees will be communicated to you, via your registered email address, from time to time. 

6. Upon successful completion of a payment of Fees on our Platform, you will receive an acknowledgment of payment via email. You further agree to receive invoices and payment reminders via email or other agreed-upon electronic methods. It is your responsibility to provide a valid email address or designated contact in accordance with the Terms for receiving invoices and reminders under these Subscription Terms.

7. The availability, pricing and Fees of Services and Subscription may vary and are subject to change at the discretion of Level Up. Therefore, we reserve the right to revise the Fees from time to time without prior notice. Such revisions shall be reflected on the Platform.To make sure you are aware of any changes, please review these Subscription Terms periodically.

8. While availing any of the payment methods available on the Platform, we will not be responsible or assume any liability, whatsoever, in respect of any loss or damage arising directly or indirectly to you due to:

1. lack of authorization for any transaction/s, or    

2. exceeding the preset limit mutually agreed between you and the financial services providers you deal with, or   

3. any payment issues arising out of any transaction, or         

4. decline of transaction for any other reason(s).

9. All payments made against any purchase of the Subscriptions or availing the Services, shall be compulsorily in Indian Rupees.

10. We, at our sole discretion, reserve the right to charge a separate fee in respect of different categories of Users.

11. The charges including but not limited to the Fees for Level Up’s Services may be different at different points of time.

12. Level Up reserves the right to change any or all parts of these Subscription Terms without liability to the User or any third-party. In the event that there is a change in the Subscription Terms, Level Up may duly notify you of such changes through the Platform.

5. ELECTRONIC RECORD

This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act”) and rules made thereunder as may be applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of the IT Act and the rules made thereunder that require publishing the rules and regulations, privacy policy and terms of use of the Platform.
